replanif

Terms of Service

Version 1.4.0 · effective 25 Sept 2026 · last updated 13 Oct 2026

These terms are the agreement between your organisation and replanif for the use of the replanif service. By accepting them, or by using the service, you confirm that you have authority to accept them on your organisation's behalf. If your organisation has signed a separate agreement with us, such as an Enterprise order form, that agreement takes precedence where the two differ.

Who we are

replanif is a product of Beamline AI (Pty) Ltd, a private company registered in South Africa (registration number 2026/766108/07), 5 Pinotage Close, Nooitgedacht Village, Stellenbosch, Western Cape, South Africa.

1. The service

replanif is an online project-delivery workspace: work tracking with templates you configure, project planning, Kanban boards, a RAID log, reports and AI-assisted features, as described on our website for the plan you choose.

The service is for business use. It is offered to organisations and the people they authorise, not to consumers acting for personal purposes.

We may improve, change or remove features over time. We will not materially reduce the core features of your plan during a term you have paid for.

2. Accounts and access

We set up your organisation's workspace. Your administrators then invite users, choose their roles and remove them. You are responsible for who you invite, for keeping sign-in details secret, and for everything done under your users' accounts, unless it results from our breach of these terms.

Tell us straight away at support@replanif.com if you suspect unauthorised access.

3. Plans, fees and payment

Fees are those of the plan you choose, as shown on our pricing page or in your order, billed monthly or annually in advance. Prices exclude VAT, which is added where it applies. Invoices are issued in rand, US dollars or euros, as your order states. Each plan includes the number of users and the limits it states.

Subscriptions renew automatically for the same period unless cancelled before renewal. We remind your administrators by email at least 30 days before an annual plan renews.

Invoices are payable by the date shown on them. If a payment is more than 14 days late, we may suspend access after giving you notice, and restore it when the account is settled. We never delete data because a payment is late without first giving you the chance to export it.

We may change our prices with at least 30 days' notice. A change applies from your next renewal, never to a term you have already paid for.

Refunds are covered by our Refund Policy, which forms part of these terms.

4. Your data

Your organisation owns the information it puts into replanif. We use it only to provide and support the service for you, and to keep it secure. We do not sell it, and we do not use it to advertise.

For personal information in your workspace, your organisation is the responsible party and we act as its operator under POPIA. We process it only on your instructions as set out in these terms, keep it confidential, and protect it with appropriate security measures. Our Privacy Statement describes how, where and for how long.

You authorise us to use the categories of sub-processor described in our Privacy Statement (a current list is available on request), including outside South Africa, and we will tell your administrators before adding or replacing one. We maintain the safeguards POPIA section 19 requires and bind our sub-processors to equivalent ones. If we reasonably believe your workspace information has been accessed or acquired by an unauthorised person, we will tell you immediately.

You are responsible for having a lawful basis for the personal information you record, and for telling the people concerned where the law requires it.

5. AI features

AI features produce suggestions, such as proposed risks or a forecast date. They can be wrong. They are offered on request, and nothing an AI feature suggests is written into your workspace unless a person chooses to keep it. You are responsible for decisions you make using them.

Before project information is sent to an AI provider, the names of people known to your workspace are replaced with placeholders, as described in our Privacy Statement.

Fair use of AI features. Your plan includes a set number of replanif AI actions each calendar month for your whole workspace: a risk analysis, a forecast or a report query each count as one. Everyone in your workspace may use them, and they share that one allowance; the number for your plan is shown on our pricing page, and to your workspace administrators in your workspace settings, which also shows how much of it is left. When it is used up, replanif AI pauses for that workspace until the allowance refills on the first of the next month. On a free plan the allowance is a one-off rather than monthly, and once it is used up replanif AI stays paused for that workspace until you move to a paid plan; the rest of the service is unaffected, and nothing already in your workspace is withheld. Underneath that monthly allowance, no one user may run more than 5 AI actions in any 24 hours, which keeps a single account from running a workspace's allowance down in one go; that per-person figure is the same on every plan that includes AI features. We set both allowances, and we may adjust them. Separately, we may set a monthly ceiling on what a workspace's AI use may cost us; when one is reached, replanif AI pauses for that workspace until the next month.

6. Acceptable use

You agree not to: break the law using the service; upload malicious code; try to access another organisation's data or probe the service's security without our written permission; overload or disrupt the service; resell it without our agreement; or use it to store information you have no right to hold.

We may suspend an account that puts the service or other customers at risk, and will tell you why.

7. Availability and support

We work to keep the service available and to fix problems promptly, but we do not guarantee uninterrupted or error-free operation unless your Enterprise agreement sets a service level.

Support is provided by email at support@replanif.com, on business days. Help with getting started is included in every plan. Tailoring replanif to your organisation is an Enterprise service, agreed separately.

8. Ending your subscription

You can cancel at any time, as set out in our Refund Policy. We may end the agreement if you materially breach these terms and do not put it right within 14 days of our notice.

You can export your work tracking, plan and RAID information as CSV at any time while your subscription is active. For 30 days after it ends, you can ask support@replanif.com for a complete copy of your workspace information in a machine-readable format.

After those 30 days, we permanently delete your workspace. Backups containing it are deleted within a further 30 days.

9. Intellectual property

The service, its software and its design belong to us. You receive the right to use it during your subscription, for your organisation's own business. Your templates, your configuration and your project information remain yours.

If you send us feedback or suggestions, we may use them to improve the service without obligation to you.

10. Important: limits on liability

Neither party is liable to the other for indirect or consequential loss, or for lost profits or revenue. If we lose your data, our responsibility is to restore it from our most recent backup; beyond that, the limit below applies.

Each party's total liability in any 12 months is limited to the fees your organisation paid or owed in those 12 months. None of these limits applies to your payment obligations, to fraud, gross negligence or wilful misconduct, or to anything the law does not allow to be limited. Where the Consumer Protection Act applies to your organisation, nothing in these terms removes a right it gives you.

11. Changes to these terms

If we change these terms or our Refund Policy, we publish the new version with the date it last changed. Where a change is material, we ask you to accept it before you continue using replanif. A change that materially reduces your rights applies only from your next renewal; until then, the version you accepted continues to apply to you.

12. General

These terms are governed by the law of the Republic of South Africa. The courts of the Western Cape Division of the High Court have jurisdiction, unless both parties agree to another forum.

Legal process may be served at the physical address in "Who we are". If any part of these terms is found unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it. Notices to us go to support@replanif.com; notices to you go to your account administrators' email addresses.
